Licence terms

When you purchase or download templates from SWMS NZ (operated by Keuer Solutions Pty Ltd) you are granted a licence to use the documents on the terms below.

Permitted use

• Use the templates within the single business entity that made the purchase.
• Customise, edit and modify the documents for your own operations.
• Add your company logo, branding and site-specific details.
• Use the documents across all projects and sites operated by the purchasing business.
• Share completed documents with workers, subcontractors and main contractors on projects operated by your business, for the purpose of performing work under your direction. This does not permit those parties to use the templates for their own business.
• Print copies for site use.
• Upload completed documents to a client portal, a main contractor’s system, or a prequalification platform such as SiteWise or Tōtika, where you are doing so for your own business. This is the ordinary way site paperwork is submitted and the licence permits it.

Prohibited use

• Reselling, sublicensing or redistributing the templates, modified or not, to any other business, person or entity.
• Sharing templates with other businesses, including related entities, unless each has its own licence.
• Uploading blank or uncompleted templates to a public repository, a document library, or any shared location where a business without its own licence could take and use them. The restriction is on distributing the template; submitting your completed documents is permitted above.
• Using the templates as part of a competing product or safety documentation service.
• Removing or obscuring copyright notices or attribution.

Intellectual property

All templates and documents, their content, structure and formatting remain the intellectual property of Keuer Solutions Pty Ltd. Your purchase grants a licence to use, not ownership of, the underlying intellectual property.

Multi-business use

If you operate more than one business (separate NZBNs, ABNs or legal entities), each requires its own licence. Contact us for multi-business pricing.

Term

The licence starts when payment is received and continues for as long as you comply with it. If the licence ends because it was breached, you must stop using and distributing the Products, but documents you have already completed and used on a job may be retained as records of work done.

Enforcement

We may revoke the licence and pursue legal remedies for breach of these terms. Revocation follows clause 16 of the Terms: where a breach can be put right we will tell you and give you 14 days to do so before revoking. Only breaches that cannot be put right, such as reselling or publicly distributing a template, allow immediate revocation. Documents you have already completed and used on a job may be kept as records of that work.
